A comprehensive music recording contract should include: (1) Clear definition of the recording commitment (number of albums/tracks, recording schedule, budgets); (2) Advances and royalty rates - understand the difference between gross and net royalties, typical rates are 12-20% of net sales for new artists, higher for established artists; (3) Ownership of master recordings - ideally retain ownership or negotiate reversion after recoupment; (4) Publishing rights - NEVER give away publishing without separate compensation, publishing is often more valuable than recording rights; (5) Territory and term - limit geographic scope and duration where possible; (6) Creative control - approval rights over producers, mixing, artwork, and single selection; (7) Marketing and promotion commitments from label; (8) Accounting and audit rights - right to examine label's books; (9) Leaving member and breakup provisions for bands; (10) 360 deal clauses - be extremely careful about giving labels percentage of touring, merchandising, and other non-recording income. While many established producers refuse NDAs, many will sign them, especially for detailed concepts; (4) Idea submission agreements - some companies have standard agreements acknowledging receipt of your idea and creating legal duty of confidentiality; (5) Document everything - keep records of when you created the concept, everyone you pitched to, what materials you shared, and dates; (6) Send yourself a sealed, dated package with your treatment (poor man's copyright) as backup evidence of creation date; (7) Pitch to reputable companies - research the company's reputation before pitching; (8) Implied contract theory - even without written NDA, courts may find implied contract if you pitched confidential information with reasonable expectation of payment if used.
